Registering a company in Japan involves a well-defined legal process and submission of specific documents to the Legal Affairs Bureau. Whether you're a foreign investor or a local entrepreneur, preparing the correct documentation is crucial for a smooth registration process.

To begin, you need a Certificate of Seal Registration (Inkan Shomeisho) for each Japanese resident director or representative. This document certifies the registered seal, which is legally binding in Japan. For foreign directors, a notarized passport copy and proof of address may be required.

Next, the Articles of Incorporation (Teikan) must be drafted and notarized. This document outlines the company’s purpose, structure, capital, and internal regulations. In addition, a Capital Contribution Certificate and Bank Statement showing the capital deposit are needed to prove capital funding.
